Kansas City Southern Terminates Canadian National Railway Merger Agreement, Is Entering Into Merger Agreement with Canadian Pacific Railway

Missouri, US-based railroad operator Kansas City Southern's (NYSE: KSU) board of directors, in consultation with its financial and legal advisors, has unanimously determined that an acquisition proposal KCS received from Canadian Pacific Railway Ltd. (TSX: CP) (NYSE: CP) on September 12, 2021 continues to constitute a "company Superior Proposal" under KCS's pending merger agreement with Canadian National Railway Company (TSX: CNR) (NYSE: CNI), the company said.

KCS also announced that it entered into a waiver letter agreement with CN under which CN agreed to waive the five-business day match period under the CN merger agreement and KCS agreed to terminate the CN merger agreement.
